Overview

Andrew Comer is a corporate and M&A attorney with more than 17 years of experience advising business owners, executives, and investors through some of the most consequential decisions they’ll face — buying or selling a company, structuring a new venture, or navigating a transaction that will define what they’ve built.

He has served as lead transaction counsel across a wide range of deals, representing buyers, sellers, and funds from letter of intent through closing and beyond. His work spans deal structuring and negotiation, financing, due diligence, entity and governance matters, and the operational legal questions that arise as companies grow. He is recognized as one of the Best Lawyers in America for corporate law and a Top Lawyer in Denver for Mergers and Acquisitions.

Andrew’s clients include private equity and venture capital funds, software companies, architecture and construction firms, creative agencies, manufacturers, and professional services businesses. He works closely with founders, boards, and investors — often over many years — and is known for practical, direct counsel that translates legal complexity into clear decisions.

He is an active participant in Colorado’s entrepreneurial community, having organized events, spoken to business owners on legal topics, and mentored at company-focused organizations across Denver and Boulder.

Outside the office, Andrew spends time with his family, plays golf, and follows the Colorado Buffaloes.

  • Assisted private equity and venture capital fund clients in fund formation and management.
  • Assisted and negotiated hundreds of M&A transactions for clients of various sizes, including through the representation of buyers, sellers, and individual equity owners in technology, manufacturing, oil and gas, cannabis, construction and other industries.
  • Assisted a client in the agriculture industry software business with the purchase of a competitor.
  • Represented financial services companies, mobile application companies, and others in their series financings.
  • Represented dozens of companies in debt financings, including SBA, SAFE, and convertible debt.
